1. Applicability
These general terms and conditions apply to all quotations, agreements, assignments, services, and invoices of Nancy Cool Interior Architecture.
By accepting a quotation or confirming an assignment, the client declares agreement with these terms and conditions.
Deviations from these terms are only valid if confirmed in writing by Nancy Cool Interior Architecture.
2. Definitions
- Client: the natural or legal person who concludes an agreement with Nancy Cool Interior Architecture.
- Assignment: any form of interior architectural service, including but not limited to design, advice, concept development, material selection, site supervision, consultancy, and related services.
3. Quotations and conclusion of the agreement
All quotations are indicative and non-binding, unless explicitly stated otherwise. Quotations remain valid for 30 days.
An agreement is concluded as soon as:
- the client confirms the quotation in writing or via email, or
- Nancy Cool Interior Architecture starts the execution of the assignment.
Changes to the assignment may lead to a revision of price and planning.
4. Execution of the assignment
Nancy Cool Interior Architecture performs the assignment to the best of its insight, professional knowledge, and in accordance with professional standards.
The client undertakes to provide all necessary information in a timely and correct manner. Delays or additional costs due to late or incomplete information are at the expense of the client.
Nancy Cool Interior Architecture may call upon external partners or specialized service providers for certain parts of the assignment.
Unless explicitly agreed otherwise, Nancy Cool Interior Architecture is not responsible for:
- execution errors by contractors or suppliers
- structural defects
- technical defects outside the design assignment
5. Duration and termination
Each design or advice assignment is considered a one-off engagement, unless agreed otherwise.
If the client terminates the assignment prematurely, compensation is due for:
- services already delivered
- costs incurred
- a fixed compensation of 20% of the remaining amount of the original quotation
Termination must be done in writing.
6. Deadlines
Any deadlines given are indicative.
Exceeding a deadline cannot give rise to compensation, dissolution of the agreement, or refusal of payment, unless explicitly agreed otherwise in writing.
7. Force Majeure
Nancy Cool Interior Architecture is not liable for delays or non-performance due to force majeure, including but not limited to:
- strikes
- pandemics
- fire
- government measures
- technical failures
- illness
In case of force majeure, the execution of the agreement may be suspended or terminated without right to compensation.
8. Prices
All prices are exclusive of VAT, unless stated otherwise.
If costs increase during the execution of the assignment due to external factors (such as price increases of materials, suppliers, or legal charges), Nancy Cool Interior Architecture reserves the right to adjust the price.
Additional work or extra services will be invoiced separately.
9. Payment
Invoices are payable within 14 days after the invoice date, unless stated otherwise.
In case of late payment:
- interest of 12% per year is due by operation of law and without notice of default;
- a fixed compensation of 10% of the outstanding amount is due, with a minimum of €150.
In case of non-payment, Nancy Cool Interior Architecture reserves the right to suspend the execution of ongoing assignments.
10. Intellectual property
All designs, plans, concepts, sketches, visualizations, presentations, and other creations remain the intellectual property of Nancy Cool Interior Architecture.
They may not be reproduced, modified, or used without prior written permission.
Copyright remains with Nancy Cool Interior Architecture at all times, unless explicitly agreed otherwise.
11. Liability
The liability of Nancy Cool Interior Architecture is limited to the value of the relevant assignment or the invoiced amount.
Indirect damages, consequential damages, loss of profit, or immaterial damages are not eligible for compensation.
The client remains responsible for:
- the final technical execution
- compliance with building regulations
- engaging competent contractors
12. Complaints
Any complaints must be reported in writing within 14 days after discovery of the problem.
After this period, the client is deemed to have accepted the delivered services.
Filing a complaint does not suspend the payment obligation.
13. Applicable law and competent court
Belgian law applies exclusively to all agreements.
In case of dispute, the courts of the district where Nancy Cool Interior Architecture is established have exclusive jurisdiction.
If any provision of these terms is found to be invalid, the other provisions remain in full force.
